Terms of Service
These terms apply when you request a quote or order work from Kelly & Clark Group (“we,” “us”). By submitting the intake form or paying for an order, you agree to them. Please read them before you order.
1. What the service is
Kelly & Clark Group is an online document preparation service for farms and ranches. You submit a form, we send a fixed-price quote, and after you accept and pay, we prepare the documents you ordered and send them to you by email. Everything is handled in writing. We do not take calls or hold meetings.
2. Scope of work
Each quote describes the documents we will prepare and the price. The work covers only what the quote lists. Typical services include grant and program applications, loan packages, grant research, bookkeeping cleanup, lease summaries, hiring packets, email and newsletter writing, social content packs and farm websites. If you ask for something outside the quote, we will send a new quote before doing it.
3. What we do not do
We prepare documents. We do not:
- Give legal advice, and we are not a law firm. Lease summaries describe what a document says; they are not an opinion on what it means for you or whether it is enforceable.
- Give tax advice or accounting advice, and we are not a certified public accounting firm. Bookkeeping cleanup organizes your records; it does not include tax planning, tax preparation, audit, review or assurance work.
- Give lending, financial or insurance advice. We do not recommend whether to borrow, from whom, or on what terms, and we do not recommend insurance coverage.
- Submit applications, forms or packages to any agency, lender or other party on your behalf. You review the finished documents and you submit them yourself.
- Guarantee any outcome. Programs, agencies and lenders make their own decisions. We cannot promise that an application will be approved, funded, ranked in any particular way, or that a lender will extend credit.
Program rules, deadlines and forms are set by the agencies and organizations that run them, and they change. You should confirm the current requirements with the program office or lender before you submit.
4. Payment
Prices are fixed in the quote. Unless the quote says otherwise, payment in full is due before we begin work. We will tell you how to pay in the quote email. Prices are in U.S. dollars. Quotes are good for the period stated in the quote; if none is stated, 14 days.
5. Our guarantee
If our preparation was wrong, we will redo it at no charge. “Wrong” means the finished documents do not match the information you gave us, contain an error we introduced, or leave out something the quote said we would cover. Tell us in writing within 30 days of delivery and describe the problem. We will correct it and send the revised documents.
The guarantee does not apply to a decision an agency or lender makes about your application, to changes in program rules after delivery, to problems caused by information you gave us that was incomplete or inaccurate, or to a change in what you want after we have delivered what the quote described. We may offer to make such changes under a new quote.
6. Your responsibilities
- Give us accurate, complete and current information. We rely on what you send and do not independently verify it.
- Send the documents and details we ask for, and answer our written questions promptly.
- Read the finished documents carefully before you sign or submit them. You are responsible for the content of anything you submit under your name.
- Check program rules, deadlines and requirements with the relevant office or lender.
- Consult a licensed attorney, tax professional, accountant, lender or insurance agent where you need advice.
- Send us only information you have the right to share.
7. Deadlines and when the clock starts
We aim to send your quote within one business day of receiving your completed intake form. Business days are Monday through Friday, excluding U.S. federal holidays.
Delivery time for the work is stated in the quote. The clock starts when we have received both your payment and everything we asked for in order to begin. If we are waiting on you for information or documents, the delivery time is extended by the same amount of time.
If you have an outside deadline, such as a program closing date, tell us on the intake form. We will say in the quote whether we can meet it. Please do not rely on a deadline we have not confirmed in writing. If you send work to us close to a deadline, the risk of missing it is yours.
8. Your documents and our work
You keep ownership of the information and documents you send us. Once you have paid, you may use the finished documents for your own farm or ranch business. How we handle and delete your files is described in our Privacy Policy.
9. Limitation of liability
We will do the work with reasonable care. To the fullest extent the law allows, our total liability to you for any claim arising out of our services is limited to the amount you paid us for the order the claim relates to. We are not liable for indirect, incidental, special or consequential losses, including lost grants, lost financing, lost profits, missed deadlines or penalties, even if we were told they were possible. Nothing in these terms limits liability that cannot be limited under the law, and some states do not allow certain limits, so part of this section may not apply to you.
10. Cancellation and refunds
You may cancel before we begin work and receive a full refund. If work has begun, tell us in writing and we will refund the portion of the price for work not yet done. If we cannot do the work described in the quote, we will refund you in full.
11. Changes to these terms
We may update these terms. The version in effect when you accept a quote is the one that applies to that order.
12. Governing law
These terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute will be handled in the courts located in Whiteside County, Illinois, unless the law requires otherwise.
